I have checked the bylaws and believe that the election of the Board by those members was legitimate in every way. Additional members are welcome. Dues are $20. If there is a member who is dying to serve on the Board, I'm sure we can find a Board member or two willing to resign to make way for energetic blood. Same with Officers, who were elected by the Board. Vacancies on the Board are filled by majority vote of the members, provided that a quorum (50 percent) of members are present. Vacancies among officers may be filled by a majority vote of the seated Directors, that is, an absolute majority. The Board can call a special meeting, upon written request of a majority of the members, for removal or election of one or more members. This process likely would require stages and could not be executed on one night, and I don't think this process is necessary because I'm sure everyone can be accomodated. In any case, the above is a thumbnail sketch on how changes in the Board and the Officers are made, other than election of the new Board at annual meetings. Actually, there was a meeting in January, but not all board members or even all officers were notified of that meeting, nor was the meeting announced on our web page (http://keithlynch.net/les/) which has been announcing this March meeting since December.
