Minutes of the Meeting of the American Cryonics Society
Board of Governors

August 25, 1993
165 Gibraltar Ct.
Sunnyvale, CA

The meeting was called to order by at 8:07 p.m.  by Vice President Jim
Yount who welcomed members and guests.

Approval of Agenda

The agenda was approved as presented.

Approval of Minutes

Minutes from the July meeting had been mailed to members.  There were no
corrections.  The minutes were approved as presented.

Financial Report

The July financial report was presented.  Periodic financial reports are
mailed to members.

Members at Risk

Jim Yount discussed the recent hospitalization of Jerry White.  Jerry
was afflicted with toxoplasmosis, a frequent complication suffered by
people with AIDS.  There was a general discussion of how we could assist
Jerry, who's need for care is now more acute.

Edgar Swank reported discussions with Trans Time, who has now completed
construction of an operating room.  Edgar said Trans Time is now
prepared to suspend Jerry if Jerry makes arrangements directly with
them.  There was discussion of submitting a contract to Trans Time for
suspension of ACS members.

Jim Yount exhibited an emergency response kit that ACS recently purchased
from BioPreservation in Southern California.  The kit includes a portable
ice bath, a heart-lung resuscitator and other needed equipment for an
emergency standby and transp ort.  Also displayed was a heart-lung machine
for use in a suspension, on loan from Royce Brown.  Jim said the donations
to purchase this equipment had not come from the ACS general funds but from
donations from people who want to see ACS have the capability to do a
suspension without relying upon other companies.

Jim said BioPreservation offered training in the use of this equipment.
Since some of the equipment has been manufactured by BioPreservation, or
are brands we have not previously used, Jim suggested we take advantage
of the BioPreservation training program.  A training session will be
set up in the near future.

Delinquent Dues Policy

There was a discussion on whether there should be any restrictions on
a full member converting from one membership payment plan to another.
There was general agreement that members in good standing could freely
change from one plan to another.  Some Governors argued that members
whose dues are in arrears who then convert from one payment plan to
another create extra work for the accountant and they still often end up
dropping out.

Dick Marsh and Jim Yount worked out the wording of the following motion
which was then moved by Edgar and seconded by Jim:

Resolved:  Any Full member, in good standing, may convert his\her
membership from one payment plan to another.

A member is in good standing if he/she has been accepted for
membership in the American Cryonics Society and he/she is not
delinquent in payment of dues.

The motion passed unanimously.

Jim Yount reported that an ACS member whose membership recently
terminated had questioned our termination procedure as applied to
him.  We are consulting our attorney on the matter.

Settling Members Estate

Edgar Swank reported on a meeting which he and Jim Yount attended along
with attorney Jim Bianchi, Art Quaife and Jack Zinn.  The purpose of the
meeting was to try to resolve questions on settling the estate of ACS
member Violet Jones.  Edgar re ported that he felt the meeting was
fruitful, although there still are issues unresolved.

Edgar Swank made the following motion, which was seconded by Jim Yount:

Resolved:  To agree in principle to continue working with Jim Bianchi
and Art Quaife to bring resolution to the Violet Jones Estate. The
motion passed unanimously.

Edgar reported that it was the opinion of Jim Bianchi that Violet's
Facility Group shares had already passed to ACS with no further action
required of her Executor.  Edgar said that too much of Violet's money is
tied up in this speculative investment.

There was a discussion on ways to sell Facility Group shares.  It was
suggested that a notice be sent out with our minutes informing our
members of our intent to sell these shares.  Jim Yount said we should
notify the members of our investment advisory committee that ACS may
be able to sell these shares and seek their counsel.

The following motion was made by Edgar Swank and seconded by Dick Marsh:

ACS should solicit bids on shares in the Facility Group limited partnership
which ACS holds in trust for Violet Jones.

The motion passed 3-0-1 with Carmen Brewer abstaining.

Confirmation of Services

Edgar Swank reported that an agreement was reached with Trans Time to
allow ACS an inspection of long-term storage log books for ACS Patients
being maintained at the Trans Time facility in Oakland.

Trans Time allowed no photocopies of the log-books to be made.  Although
Edgar was allowed to take notes, he had to leave the notes at Trans Time
when he left.  We also agreed that no information from the inspection
could be used in a suit agai nst Trans Time.

Edgar said that as far as he could tell there were no glaring errors
in the record and it appeared the logs had been kept continuously.
Edgar said that he was not experienced in what should be done and what
to look for.  Agreement could not be reached with Trans Time to allow
inspection by more experienced people.

Jim Yount said that on the basis of this inspection we had paid Trans
Time's long-term storage bill for JF but that the restrictions we
agreed to were not acceptable as standard inspection procedure.  Edgar
said he was working on a contract pro posal with Trans Time and would
try to include a better inspection procedure as part of ACS contract
rights.


Pet Freezing

Jim Yount told of the cryonic suspension of Bay, a cat who was a pet of
two ACS members.  The suspension was at a veterinary hospital in San
Jose.  The veterinarian, Jim, the cat's owners, and a veterinarian's
assistant performed the procedure.

Next meeting

The next meeting was scheduled for 2:00 p.m., Sunday, September 25 at
the residence of Dick Marsh in Walnut Creek.

The following meeting was scheduled for 2:00 p.m., Sunday, October 16 at
the residence of Tom Farese in Pinole.

Adjournment

The meeting adjourned at 9:54 p.m.  Most of the meeting participants
then went to visit Jerry White in Sequoia Hospital.
