Subject: CRYONICS Invitation to Run for ACS Board
From: (Edgar W. Swank)
Date: Sun, 12 Dec 93 07:23:22 PST

I'm posting the following information in the hopes of attracting some
of you, especially members of other Cryonics societies, especially
any of you who live in or near the San Francisco Bay Area, to join ACS
and run for one of the seven positions on the ACS Board of Governors.

At least one current Governor will not be able to serve next year for
health reasons. Two or three other governors have been unable or
unwilling to attend monthly board meetings with any consistency. So
there are definitely openings for persons willing to serve.

If you would like to participate in the leadership of a dynamic
cryonics organization, and if you have been unable to break into the
ruling clique of your present organization, ACS needs you, and perhaps
you need ACS.

As you can read below, you must become a full member of ACS and notify
Peter Christiansen of your intention to run for the Board by December
23, 1993, so please act promptly if you're interested.

$30/month (billed), or $25/month (pre-authorized monthly

Dear ACS Member:

Any full member of the American Cryonics Society may stand for election to
the office of Governor. The date, time, and place for this year's
election has not yet been determined. Elections are held yearly, near
the end of January.

Peter Christiansen is Chairman of the Election Commissioners and will
supervise the distribution of ballots and candidates election literature as
well as the ballot count. Peter's address is 41 Sunrise Lane, Lafayette,
CA 94549, phone (510) 943- 7731. Other Election Committee members are John
Day and Jerry White.

Full ACS members who wish to run for Governor and have their names appear
on the printed ballot should notify Peter of this fact no later than
midnight December 23, 1993.

Candidates will have two opportunities to have election material which they
have prepared and had printed, be mailed to voters. The first mailing
is to allow candidates to provide voters with election material. The
second mailing is to allows them to respond to the election literature
of other candidates if they choose. Names, addresses, and phone numbers
of members will not be distributed to the candidates.

Deadline for receipt of candidates' material for the first mailing is
midnight, December 21, 1993. One hundred fifty copies of each item to
be mailed must be received by Peter Christiansen at his home address no
later than that date and time. Material received after that date will
not be included as part of this first mailing. Ballots will not be sent
with this first mailing.

The deadline for receipt of candidates' material for the second mailing is
midnight, January 14, 1993. One hundred fifty copies of each item to be
mailed must be in possession of Peter at his home address no later than
that date and time. This mailing is to let candidates respond to
election material sent out by other candidates in the first mailing.

A copy of the election procedures is enclosed, along with a paper by John
Day on election principles. These principles have been adopted as
election guide lines.

Long life,

Jim Yount
Vice President

                         ===================

The following motion modifying the above was passed at the ACS Board
meeting of 12/10/93.

                           MOTION

Edgar Swank moved and Jim Yount seconded a motion for an addition to the
Election Procedures for 1994 as distributed in the mailing from ACS of
November 29, 1994.

Resolved: In addition to the procedure whereby a candidate may have any
amount of printed material distributed to voters by providing 150 copies
(at their own expense) and payment for postage, candidates shall have the
alternative of providing a brief statement (up to 200 words) which shall be
copied and mailed to voters at ACS' expense. Such statements from multiple
candidates may be combined on (a) single sheet(s) of paper at the
discretion of the Chairman of the Election Commissioners.

However, ACS will only copy and mail such statements if there are more
than seven (7) Board candidates.

If this motion is passed, all full members shall be notified of this change
by an immediate mailing.

                         ===================

Also passed at the 12/10 board meeting were motions 1) requiring as a
condition of membership that members agree to submit disputes with ACS
to binding arbitration, and 2) to include language in our by-laws (as
soon as we can get it from our attorney) to limit personal liability
of Governors.

                         ====================

Detailed Election Procedures
for ACS Election 1994

A. Three election committee members shall be appointed by the ACS
President. Should the President be unavailable to make such
appointments, this duty shall fall upon the Vice President. These
election committee members are synonymous with the Nominating Committee
called for in our by-laws.

B. From among the committee members the ACS President shall appoint a
Chairperson. If the President is unavailable to make such appointment,
this duty shall be performed by the Vice President. Should both the ACS
President and Vice President fail to make such appointment, then the
committee shall choose their own Chairperson. Should committee members
resign before the election, the Committee Chairperson shall appoint a
replacement. Should the Chairperson resign, the Vice-Chairperson shall
serve as Chairperson. Should all committee members resign, the ACS
President shall appoint a new committee.

1. A unique and secure mailing address shall be used to receive ballots.

2. Deadlines for filing for office of Governor and for getting election
material to the Election Committee Chairperson for mailing to voters,
will be established and published to members.

3. The Board shall empower the Election Committee to decide all matters
pertinent to the ACS election. Only the Election Committee Chairperson
may make decisions regarding interpretation of ACS by-laws, Board
resolutions, or Committee rules as they apply to the ACS election.

4. The Committee Chairperson shall make two mailings to voters. The first
mailing shall consist of a list of candidates accompanied by any
candidate statements and other election material received from
candidates. If no election material i s provided to the Chairperson by
any candidate he/she has no obligation to send out this "first"
mailing. The second mailing shall consist of a ballot along with any
additional material which candidates wish to have distributed to voters.
Only candidates who submitted material for the first mailing may submit
material for the second mailing. This second mailing shall follow the
first by about two weeks.

One hundred fifty copies of all materials to be submitted are to be
delivered to the Chairperson.

5. The Committee Chairperson, or any other Committee Member, does not have
the responsibility to make judgments on the appropriateness of any of
the election materials submitted. The Committee Chairperson has no
responsibility for errors or omissions. The Chairperson is encouraged
to consult with the ACS attorney on any matters pertaining to the
election which he/she thinks appropriate.

Candidates may include any materials they deem appropriate in their
election material. They shall be charged for the amount of postage
necessary to mail out their material. The Election Chairperson shall be
the judge as to proper apportionment of postage.

7. In recognition of the confidential and proprietary nature of information
concerning our members, no names, addresses, telephone numbers, or other
information on our members shall be distributed to candidates for the
purpose of solicitation of votes.

8. Ballots shall not be opened until 1:30 p.m. the day of the election and
then only with two or more election commissioners or alternates present.
Should there be only one election commissioner present, he or she may
appoint an alternate commissioner for purpose of ballot count and
verification only.

9. Ballots, after counting, shall be sealed in a large envelope and
retained in the possession of the Election Chairperson. These shall be
turned over to the Chairperson for the next election when the new
Chairperson is appointed. Ballots shall be retained for at least one
year. They may be destroyed only when advised by the ACS attorney
that it is proper to do so. The Chairperson shall have no liability,
apart from due care, for storing these records.

10. Copies of these election rules shall be distributed to all members.

11. Members may FAX their ballots to the Committee Chairperson. The
Chairperson shall determine the validity of all such ballots and if
valid, so certify. The Chairperson shall place these ballots in
individual envelopes when received and seal the envelopes.

12. For purposes of this election, the Board shall not accept any
memberships after January 14, 1994.

13. Any person who wishes to re-cast his/her ballot after it has been
mailed to the Election Committee Chairperson may do so by requesting a
new ballot. An effort will be made to distribute a new ballot in time
for the member to vote and re-mail; however, such requests could result
in the new ballot not arriving in a timely manner.

14. When a voter has mailed a ballot and wishes to substitute another, the
ballot bearing the latest postmark will be counted.

15. If a voter who has previously mailed a ballot attends the ACS General
Meeting, he may request the envelope containing his ballot be returned
and may then make a new ballot.

16. Only ballots where the name of the voter(s) appears on the envelope
containing the ballot(s) will be counted. The envelopes will be
separated from the ballots by the Election Commissioners, as the first
step of the counting process. They are to do this without noting the
way the members vote.

Full members who plan on bringing their ballots to the meeting should be
sure to be on time. Once the Election Committee Chairperson declares
balloting over, the commissioners will retire to another room to count
ballots. No further ballots will then be accepted.

18. Ballots which are hand delivered must be brought to the meeting by
the voter or a voting member of his family only.

19. Ballots should not be mailed to any ACS office, Officer, or Governor.
Ballots brought to the meeting by Officers or Governors other than
ballots for that Officer or Governor or his family will not be counted.

20. The determination that any of these rules is not lawful shall be made
only by the ACS attorney, unless by court order. If one or more of
these rules are found to be unlawful, the validity of the other rules is
not effected.
